Additional Terms and Conditions

These Additional Terms and Conditions ("Additional Terms") supplement and are incorporated into the Terms and Conditions of Noetic (the "General Terms"), available at noeticdating.com/terms. In the event of any conflict between these Additional Terms and the General Terms, these Additional Terms shall control. By using the Noetic application ("Service"), you agree to be bound by both the General Terms and these Additional Terms. All capitalized terms not defined herein shall have the meanings set forth in the General Terms.
The Service is owned and operated by Spark LLC ("Spark LLC," "we," "us," or "our").

1. Age Requirement

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old. If Spark LLC discovers or reasonably believes that you are under 18, your account will be immediately terminated without notice. Spark LLC does not knowingly collect personal information from anyone under the age of 18. If you believe a User is under 18, please report them immediately using the contact details provided below.

2. Safety; In-Person Meetings

Noetic is a platform that allows Users to connect with other Users. Spark LLC does not conduct criminal background checks on Users, nor does it verify the identity, background, or statements of any User. Spark LLC makes no representations or warranties as to the conduct, identity, intentions, legitimacy, or veracity of any User.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. YOU UNDERSTAND THAT SPARK LLC DOES NOT SCREEN USERS, INQUIRE INTO THE BACKGROUND OF USERS, OR ATTEMPT TO VERIFY THE STATEMENTS OF USERS. SPARK LLC MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF ANY USER.
SPARK LLC IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. IN NO EVENT SHALL SPARK LLC BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, DEATH, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES.
You agree to take reasonable precautions in all interactions with other Users, particularly if you decide to communicate off the Service or meet in person. You should not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money to other Users.

3. AI-Powered Features

The Service includes AI-powered features ("Noetic AI") that use artificial intelligence technology provided by third-party services, including OpenAI and Anthropic, to generate responses, suggestions, and recommendations.

Accuracy

AI-generated content is provided for informational and entertainment purposes only. Responses may be inaccurate, incomplete, or inappropriate. Spark LLC does not guarantee the accuracy, reliability, or suitability of any AI-generated content. You should not rely on AI-generated content for making important decisions.

Not Professional Advice

Noetic AI does not provide medical, legal, financial, psychological, or any other professional advice. Any information provided by Noetic AI should not be considered a substitute for professional consultation.

Data Processing

When you use Noetic AI, your messages and related data are transmitted to third-party AI service providers (currently OpenAI and Anthropic) for processing. These providers may process your data in accordance with their own terms of service and privacy policies. Spark LLC does not control how these providers process data beyond the scope of our agreements with them. By using Noetic AI, you consent to such transmission and processing.
For Users in the European Union, the processing of your data by third-party AI providers is governed by Data Processing Agreements and protected by Standard Contractual Clauses and the EU-US Data Privacy Framework. Please refer to our Privacy Policy for further details.

AI Memory

Noetic AI may store information from your conversations to personalize future interactions. This information is stored locally on your device. You may manage and delete your AI memory through the application's memory settings, or by deleting and reinstalling the application.

Voice Features

The Service may include voice synthesis features powered by third-party providers (currently ElevenLabs). When you use voice features, data may be transmitted to these providers for processing. Spark LLC does not store recordings of synthesized voice output.

No Liability for AI Content

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPARK LLC SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM YOUR USE OF OR RELIANCE ON AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO DECISIONS MADE BASED ON SUGGESTIONS, RECOMMENDATIONS, OR INFORMATION PROVIDED BY NOETIC AI.

4. Prohibited Conduct

In addition to any acceptable use provisions in the General Terms, Users specifically agree NOT to:
  • a.
    Use the Service for any commercial purpose, including soliciting other Users to buy or sell products or services, or promoting third-party websites;
  • b.
    Harass, stalk, bully, intimidate, threaten, or defame any person;
  • c.
    Post content that is hateful, discriminatory, racist, sexually explicit, obscene, violent, or promotes illegal activity;
  • d.
    Impersonate any person or entity, or post any images of another person without their consent;
  • e.
    Use the Service to send unsolicited commercial messages ("spam");
  • f.
    Solicit passwords or personal information for commercial or unlawful purposes from other Users;
  • g.
    Use another User's account, share an account with another User, or maintain more than one account;
  • h.
    Create an account if you have been previously removed or banned from the Service;
  • i.
    Post content that contains software viruses or any other malicious code;
  • j.
    Use any robot, bot, spider, crawler, scraper, site search/retrieval application, proxy or other automated means to access, retrieve, index, or collect data from the Service;
  • k.
    Use the Service in any way that could interfere with, disrupt, negatively affect, or inhibit other Users from fully enjoying the Service;
  • l.
    Engage in any activity that constitutes fraud, sex trafficking, or facilitates prostitution;
  • m.
    Use the Service while located in a country embargoed by the United States or that is on the United States Treasury Department's list of Specially Designated Nationals;
  • n.
    Post false, misleading, or deceptive information in your profile, including using photos that do not accurately represent your current appearance.
Spark LLC reserves the right to investigate and/or terminate your account without a refund if you have violated this Agreement, misused the Service, or behaved in a way that Spark LLC regards as inappropriate, unlawful, or in violation of any third party's rights, including actions or communications that occur on or off the Service.

5. Fraud Bans and Safety Notices

Fraud Bans

If Spark LLC determines, in its judgment, that there is a significant risk that a User will attempt to obtain cash or another form of currency from other Users through fraudulent means, Spark LLC may permanently terminate that User's account (a "Fraud Ban"). A User subject to a Fraud Ban may not create a new account or otherwise use the Service.

Safety Notices to Other Users

When Spark LLC issues a Fraud Ban, Spark LLC will send a notice (a "Fraud Ban Notification") to each User who received a message through the Service from the banned account, consistent with the federal Romance Scam Prevention Act. A Fraud Ban Notification identifies the banned account by its profile name; states the most recent date and time the notified User sent a message to or received a message from that account; states that the banned account may have been using a false identity or attempting to defraud Users; advises against sending cash, any other form of currency, or personal financial information to other Users; and provides fraud prevention information and customer service contact information. Fraud Ban Notifications never include the content of any message.
By using the Service, you acknowledge and agree that if your account becomes subject to a Fraud Ban, your profile name and the date and time of your most recent message with each recipient will be disclosed to the Users who received messages from you.

Delivery and Timing

Fraud Ban Notifications are sent by email or text message. You also consent to receive Fraud Ban Notifications and other safety notices by push notification and in-app notification. Spark LLC generally sends Fraud Ban Notifications within 24 hours of a Fraud Ban, and may send them later where circumstances require or where a law enforcement official requests a delay.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPARK LLC IS NOT LIABLE TO ANY USER, BANNED USER, OR FORMER USER FOR ANY CLAIM BASED ON ACTIONS SPARK LLC TAKES TO ISSUE A FRAUD BAN OR TO PROVIDE A FRAUD BAN NOTIFICATION, INCLUDING THE MANNER, TIMING, OR CONTENT OF A FRAUD BAN NOTIFICATION.

6. Verification

The Service may offer optional identity verification features. Verification indicates that a User has completed certain verification steps and does NOT constitute an endorsement, guarantee, or representation by Spark LLC of any User's identity, background, character, or conduct. Spark LLC does not conduct background checks on Users. Even verified Users may engage in misconduct. You should exercise caution and good judgment in all interactions with other Users, regardless of verification status.

7. Subscriptions & Payments

No Refunds

GENERALLY, ALL PURCHASES ARE FINAL AND NONREFUNDABLE, AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS, EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT OR AS REQUIRED BY APPLICABLE LAW (FOR EXAMPLE, THE LAWS OF THE EU, UNITED KINGDOM, OR YOUR STATE OF RESIDENCE).
If you purchase a subscription through the Apple App Store, the refund policy of Apple will apply. Spark LLC does not control Apple's refund process.

Free Trials

Spark LLC may offer free trial subscriptions. If you sign up for a free trial, you will be charged the applicable subscription fee at the end of the trial period unless you cancel before the trial expires. Cancellation of the free trial must be made at least 24 hours before the end of the trial period.

Price Changes

Spark LLC may change subscription prices at any time. Price changes will take effect at the start of the next subscription period following the date of the price change. By continuing to use the Service after a price change takes effect, you agree to pay the revised price.

8. Third-Party Services

The Service uses and integrates with various third-party services to provide its features. These include, but are not limited to:

    AI Services: OpenAI (GPT models) and Anthropic (Claude models) for AI-powered features
  • •
    Voice Services: ElevenLabs for text-to-speech functionality
  • •
    Event Data: Ticketmaster for event and concert information
  • •
    Movie Data: This product uses the TMDB API but is not endorsed or certified by TMDB
  • •
    Location Services: Google Places for venue and location information. Powered by Google.
  • •
    Authentication & Data Storage: Google Firebase
  • •
    Payment Processing: Apple In-App Purchases via RevenueCat
Your use of features powered by these third-party services is subject to the respective terms of service and privacy policies of each provider. Spark LLC is not responsible for the availability, accuracy, or content provided by third-party services. Third-party services may be modified, suspended, or discontinued at any time, which may affect the availability of certain features of the Service.

9. Dispute Resolution; Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution

Before filing a claim against Spark LLC, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Spark LLC may bring a formal proceeding.

Binding Arbitration

You and Spark LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding. You and Spark LLC agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms, and that you and Spark LLC are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms.
Arbitration shall be conducted by JAMS under the JAMS Streamlined Arbitration Rules. The arbitration shall be conducted in San Francisco, California, unless you and Spark LLC agree otherwise or the arbitrator determines that such a location is unduly burdensome.

Class Action Waiver

YOU AND SPARK LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Exception

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

European Union Users

For Users residing in the European Union, this arbitration clause does not affect your right to bring a claim before the competent courts of your country of residence, in accordance with applicable EU consumer protection law. EU consumers may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

10. Communications

By creating an account, you consent to receive communications from Spark LLC, including via email, push notifications, text messages (SMS), and in-app notifications. These communications may include, but are not limited to, account notifications, safety notices (including Fraud Ban Notifications described in Section 5), messages from other Users, promotional communications, and service updates. You can manage your notification preferences in the app settings or by contacting us. Standard messaging and data rates may apply.

11. Governing Law

These Additional Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
If you are a consumer residing in the European Union, the United Kingdom, or Switzerland, nothing in these Terms shall deprive you of the protection afforded by provisions that cannot be derogated from by agreement by virtue of the applicable consumer protection laws in your country of residence.

12. Force Majeure

Spark LLC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, riots, power failures, internet or telecommunications failures, cyberattacks, or third-party service provider outages.

13. California Consumer Notice

Under California Civil Code Section 1789.3, California Users of the Service are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210.

14. Right of Withdrawal (European Union)

Users in the European Union have the right to withdraw from a subscription within 14 days of purchase without giving a reason. However, by subscribing and accessing premium features immediately, you expressly consent to the performance of the service beginning before the withdrawal period has expired and acknowledge that you lose your right of withdrawal once the service has been fully performed.
To exercise any applicable withdrawal rights, contact [email protected] within 14 days of your purchase. If you have not consented to immediate performance, or if the service has not been fully performed, you may be entitled to a full or partial refund.

15. Right to Cancel (United Kingdom)

Users in the United Kingdom have the right to cancel a subscription within 14 days of purchase without giving a reason. However, by subscribing and accessing premium features immediately, you expressly request that the performance of the service begins before the cancellation period has expired and acknowledge that your right to cancel is lost once the service has been fully performed.
